General Terms and Conditions  

of Assignments

Expats Abroad shall carry out the work specified in the Order Form, offer or order confirmation ”the
Order”. Changes can only be made to the scope of the Order as a result of a separate agreement
between the parties. Customer shall also include, where appropriate, person(s) associated with the
Customer and comprehended by the Order.

 


1. The execution of the Order


Expats Abroad is responsible for managing, planning in detail and implementing the Order. The Order shall be carried out with care and in an otherwise professional manner. The parties, consisting of client(s), selected partner(s) of Expats Abroad and Expats Abroad shall consult with each other
during the execution of the Order.


The Client(s) shall grant Expats Abroad access to the information and supporting data required for
the execution of the Order and in other respects carry out the agreed measures. Any deviation of the 
supporting data required is at the client(s) own risk, as described in art Expats Abroad is entitled, following an assessment, to use the services of external consultants or consultancy firms (”Preferred partners or suppliers”) or its own staff in the execution of all or parts of the Order.


Expats Abroad is entitled to compensation for work carried out and charged by a Consultant, as
though the work had been carried out by Expats Abroad itself. Expats Abroad is responsible for
coordinating and selecting the persons, external consultants or companies to be hired for the agreed services contained in the Order.

 


2. Compensation/remuneration


The remuneration paid to Expats Abroad for the execution of the Order is set forth in the Order Form.

 

If the parties have agreed to change the Order, Expats Abroad will also be entitled, unless otherwise specially agreed upon, to adjust the remuneration correspondingly. The remuneration shall also be altered in respect of “extra work” which Expats Abroad has not brought about through error or negligence. Such extra work shall be charged by Expats Abroad in accordance with the price list of the company in force at the time the extra work was carried out.


Expats Abroad advised client(s) to not engage in other commitments after completing the order form and in cases where the client(s) orders further services/advice directly from the Consultant and the cost is charged to Expats Abroad, Expats Abroad will be entitled to request further compensation for these costs from the client(s) including commercial surcharges.

 


3. No Cure No Pay


Expats Abroad offers its service to client(s) under a no cure no pay principle from the start of the order. The No Cure No Pay principle is subject to the down payment client(s) made before or during the first viewings and remuneration of this down payment is subject to the following conditions:


1. When client(s), after successful viewings, engage in the first offer for an apartment and this
offer gets rejected, unless negligence of client(s) with regards to their responsibilities as
described in art 7, the down payment is subject to full remuneration.


2. When client(s) accept the continuation of service after first bid, the second and third bid dependent on the situation assessed by Expats Abroad, the client is responsible for full payment of the invoice under any circumstances unless specifically agreed with Expats Abroad.

 


4. Payment

The remuneration paid to Expats Abroad shall be rendered in accordance with the payment plan
specified in the Order Form. If such agreement has not been reached, Expats Abroad will be entitled
to charge the Customer the entire remuneration in conjunction with the commencement of the Order.


Payment shall be rendered against an invoice by, at the latest, 14 days after the date of issue of the
invoice. VAT and other taxes and surcharges are to be added.

 


5. Financial management direct debit


The remuneration paid to Expats Abroad through a direct debit shall be rendered in accordance with the payment plan specified in the Order Form. Financial management run for the duration of the tenancy agreement and are cancellable afterwards on a monthly basis. Financial management
guarantee client(s) payment of rent by Expats Abroad and corresponding tenancy agreement subject to the management of the tenancy.


Direct debit shall occur on the 25th day of every month for a minimum of 12 months without
notification to client beforehand. Client(s) is entitled to cancel the direct debit after 12 months on a
monthly basis.

 


6. Delayed payment


If the client(s) does not pay punctually, Expats Abroad will be entitled to penalty interest. In this
connection, Expats Abroad will also be entitled, following written notice of this to the client(s), to
discontinue work until further notice pending payment by the client(s) of any outstanding due
claims and the furnishing of satisfactory security for future payments for work by Expats Abroad to
continue.


If the client(s) delay payment by more than 30 days after Expats Abroad has called upon the client(s)
to pay a due sum, Expats Abroad may, through written communication with the Customer, terminate
the Agreement with immediate effect, terminate any pending relocation with partners and
discontinue the Order.

 


7. Responsibility of the Client


The Client(s) shall actively work towards enabling the Order to be implemented in the intended
manner and within the stated time.

It is the client(s) responsibility to qualify for placement in a rental object by earning at least 2500 euro
gross and have a working contract of at least one year. Any deviation from this is at the clients’ own
risk and will not be entitled to remuneration of the fees paid to Expats Abroad unless agreed to in
writing between both parties.


Expats Abroad is only responsible for damage to client(s) property caused by the negligence of Expats Abroad or Expats Abroad’s staff; the amount of damages is limited in accordance with information below. Expats Abroad V.O.F is not responsible for the Client’s loss of data.


Irrespective of what may ensue from the Agreement in other respects, a party’s indemnity liability shall always, unless there is specific intent or gross negligence, be limited to direct losses at a total amount not exceeding the Remuneration for the specific Assignment to which the indemnity liability can be attributed. This stipulation also applies in the event of breach of contract and damage caused by a Consultant.

 


8. Responsibility regarding Relocation Management


Expats Abroad shall have freedom of liability regarding third parties. Supplier is providing the services as an independent contractor. Expats Abroad shall have no direction or control of Supplier or of Supplier’s employees or agents, except in the result to be obtained.

 


9. Procurement of housing


Expats Abroad is not responsible for either the inspection of housing or its maintenance. In cases
where Expats Abroad has assisted during the inspection, looking over or checking of the dwelling
prior to occupation, Expats Abroad’s responsibility is limited to what is directly set forth in written
records which Expats Abroad has drawn up and which have been signed by both the Landlord and
the Customer. 


The minimal fee for home search includes the following services and costs; preparation and coordination prior to viewing, travel time, accompanied viewing of selected objects, handling and negotiation of lease contract, document ”Good advice to the Tenant”, “Good advice to the Landlord”, agent fee. The list of houses provided can be seen as performance of service and Expats Abroad cannot be held liable for other circumstances preventing the signing of contract.


If the Customer has not settled the rent or other financial reimbursement, and Expats Abroad, for
whatever reason, has settled the sum vis-à- vis the Landlord, Expats Abroad will be entitled to reclaim rendered sums from the Customer. This stipulation also applies to damages or other costs resulting from damage, wear, theft or 
other form of damage which has encumbered or impacted upon the Landlord as a consequence of the Customer’s use of the dwelling.

 


10. Permission of or decision by an authority


Expats Abroad is not responsible for an authority granting necessary permissions or informing the
Customer of positive decisions, even if it has been within the framework of this Agreement to provide, on the Customer’s account, a particular school place, a work permit etc.

 


11. Premature termination


The Customer is entitled, without giving a reason, to terminate an Assignment provided this relates to work not yet carried out. Expats Abroad shall, in such cases, receive compensation for work carried out, verified costs including outlay to Consultants and for losses caused to the company due to the termination of an Assignment. Premature termination remuneration is described in art 3

 


12. Premature termination regarding Intercultural Communication


The Customer is entitled, without giving a reason, to terminate an Assignment provided this relates to work not yet carried out. Expats Abroad shall, in such cases, receive compensation for work carried out, verified costs including outlay to Consultants and for losses caused to the company due to the termination of an Assignment.


If an Assignment is terminated less than 14 days of notice, Expats Abroad has the right to charge 50
percent of the fee for services ordered. If an Assignment is terminated less than two (2) days prior to
the confirmed date of execution, Expats Abroad has the right to charge the full fee for the services
ordered.

 


13. Premature termination regarding Home Search services


The Customer is entitled, without giving a reason, to terminate an Assignment provided this relates to work not yet carried out. Expats Abroad shall, in such cases, receive compensation through a
cancellation fee.

 


14. Insolvency of a party


Each of the parties is entitled to cancel the agreement if the other party is declared bankrupt,
opens composition proceedings, goes into liquidation or can otherwise be assumed to have
become insolvent.

15. Grounds for exemption


Expats Abroad is exempt from sanctions as a result of defaulting in the completion of certain
obligations under this Agreement, if defaulting is due to a circumstance of the type specified below
(“Circumstances for exemption”) and the circumstance prevents, or significantly impedes, the punctual completion thereof.


Circumstances for Exemption shall include, among others, measures or default by an authority, additional or altered legislation, illness or other impairment of working capacity, death, conflict on the labor market, blockade, fire, flood, loss or destruction of data or property of substantial importance or an accident of major proportions.


If Expats Abroad wishes to demand exemption in accordance with the stipulations above, the
Consultant shall, without unreasonable delay, inform the Customer of this in order to be able to
invoke the circumstance.


Irrespective of what is set forth above with regard to exemption from sanctions, Expats Abroad is
entitled, under the specified circumstances, to cancel the Agreement if the completion of certain
obligations has been delayed by more than three months.

 


16. Complaints and statutory limitation


The Customer shall lodge in writing a complaint regarding breach of contract by Expats Abroad by, at the latest, 14 days after the breach of contract has been discovered or should have been discovered. If a complaint is not lodged at the right time and in the manner prescribed in the Agreement, the Customer will lose the right to invoke breach of contract. The Customer’s right to assert a sanction will cease one month after the Order has been brought to completion or discontinued.
